Terms & Conditions
1. Services Provided
The Virtual Assistant, M The Temp, ("VA") agrees to provide administrative/creative services as outlined in subsequent Proposal or Statement of Work also known as the Contract. Clients will receive a contract tailored to their requested service and will include more specific terms according to their requests.

2. Independent Contractor Relationship
The VA is an independent contractor, not an employee of the Client. The VA is solely responsible for all tax returns and payments required to be filed with, or made to, any federal, state, or local tax authority (including California EDD) with respect to the performance of services.Â

3. Confidentiality and Data Security
The VA will have access to sensitive information. The VA agrees to keep all business information, passwords, and client data confidential. Secure tools (e.g., encrypted password managers) will be used to store credentials.Â

4. Compensation and Payment

Rates begin at $35.00 per hour and may incur additional costs for specialty items noted in services or at time of discussion or contracting with the Client.

Invoices are sent upon the completion of the service, except in the case of retainer bundles, and are due within fourteen (14) days from the date of receipt.

Retainer Bundles

Retainer is calculated at $35 / hour minus the indicated discount and excluding Specialized items.

Retainers must be paid in advanced of service

Retainer hours must be used within 30 business days

Hours expire at 30 business days from purchase, excluding holidays and blackout dates

Expired hours are not eligible for refunds, please see Refund Policy for eligibility

Extra hours used are charged at the normal rate of $35 / hr. separate to the amount per retainer

Client will be notified when their hours are nearly spent.Â

Holidays observed and blackout dates are noted on the Calendar. Work done during holidays and blackout dates is at the client's discretion with the fee per hour rising to $70/ hr. and the discount is nulled for those hours. These hours count towards the total hours purchased.Â

5. Intellectual Property
Upon final payment, all work produced by the VA—including documents, graphics, and strategies—shall be the sole property of the Client.Â

6. Termination
Either party may terminate their agreement with thirty (30) days' written notice. In the event of termination, the Client will pay for all work completed up to the date of termination.Â

7. Liability Limitation
The VA's total liability for any claims arising out of this agreement shall not exceed the total amount of fees paid by the client in the 2 months preceding the claim.Â

8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California.Â
